Welcome to OmniPhoto. These Terms of Service ("Terms") govern your access to and use of our website and AI photo generation services operated by NEXLIMIT LLC. By accessing or using OmniPhoto, you agree to be bound by these Terms and our Privacy Policy. Please read them carefully before using the service.

1. Platform Overview

OmniPhoto is an AI-powered photo studio that enables users to generate professional headshots, ID photos, and portrait-style images from uploaded photographs. Our platform uses advanced AI technology to deliver studio-quality results across a wide range of styles and use cases.

2. Account Registration and Security

To access certain features of our platform, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information as necessary. You must be at least 16 years of age to create an account and use the service. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.

3. Subscription Plans and Payments

OmniPhoto offers various subscription plans with different features and usage limits. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis. You can manage your subscription and payment methods through your account settings. Prices and available plans are subject to change with reasonable notice.

  • Credits — The service may operate on a credit-based system, where credits are used for photo generation. Purchased credits are non-refundable and non-transferable unless otherwise stated.
  • Authorization — By submitting your payment information, you authorize OmniPhoto and our third-party payment processors (Stripe, PayPal) to charge all applicable fees to your selected payment method.

4. Refund Policy

Refunds are generally not offered. Exceptions apply only if all of the following conditions are met:

  • The refund request is made within 3 days of the subscription start date.
  • Credit usage does not exceed 50 credits (including any gift credits).

If eligible, the refund will be calculated based on your usage, minus a 10% service fee from the original payment amount.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Your access will continue until the end of your current billing period.

5. User Content and Generated Photos

Your uploaded content

You retain all copyright and ownership rights in the photographs and other materials you upload to OmniPhoto ("User Content"). By uploading content, you grant NEXLIMIT LLC a worldwide, non-exclusive, royalty-free license to host, store, and process your User Content solely for the purpose of providing the service and generating your requested photos.

Ownership of generated photos

Subject to your compliance with these Terms, OmniPhoto assigns to you all rights, title, and interest in the specific AI-generated photos you create and purchase through the service. You are free to use your generated photos for personal or commercial purposes.

Your representations and warranties

By uploading content, you represent and warrant that:

  • You are the creator or owner of the uploaded content, or have obtained all necessary rights, licenses, and consents to use it as described in these Terms.
  • You have obtained the explicit consent of every identifiable individual depicted in your uploaded photos, including parental or guardian consent for any minors, for their likeness to be processed and used to generate a new AI image.
  • Your uploaded content does not infringe, violate, or misappropriate any third-party rights, including copyright, trademark, privacy, or rights of publicity.
  • You will not upload photographs of individuals without their knowledge or consent.

6. Acceptable Use

When using OmniPhoto, you agree not to:

  • Use the service for any illegal purpose or in violation of any applicable law or regulation.
  • Upload content that is unlawful, defamatory, pornographic, harassing, hateful, or otherwise objectionable.
  • Upload photographs of any person without their explicit consent, or use the service to create deceptive, misleading, or harmful representations of any individual.
  • Attempt to create deepfakes, non-consensual intimate imagery, or any content intended to deceive or harm others.
  • Infringe upon the intellectual property, privacy, or other rights of any third party.
  • Attempt to gain unauthorized access to our systems or any other user's account.
  • Use our AI tools to develop competing products or services.
  • Use automated methods to access or interact with our services without our express written permission.
  • Interfere with or disrupt the operation of the service.

We reserve the right to suspend or terminate access for users who violate these guidelines, without prior notice or refund.

7. Data Retention

  • Uploaded photos — Stored for up to 30 days after generation to allow for re-generation and customer support, then permanently deleted.
  • Generated photos — Stored for up to 30 days so you can access and download them, then permanently deleted. Please download your results promptly.
  • Account data — Retained as long as your account is active. Upon account deletion request, your data will be permanently erased within 7 days, unless a longer retention period is required by law.

8. Intellectual Property

The OmniPhoto platform, including its design, features, branding, and underlying technology, is the exclusive property of NEXLIMIT LLC and is protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, sell, or lease any part of our services or underlying technology without our prior written permission.

If you believe that your copyrighted work has been used on our platform in a way that constitutes infringement, please contact us at [email protected] with the subject line "Copyright Infringement" and we will respond promptly.

9. Feedback

If you submit feedback, suggestions, or ideas about our service, you assign all rights in that feedback to NEXLIMIT LLC. We may use such feedback without restriction or compensation to you.

10. Privacy and Data Protection

Our collection and use of your personal information, including uploaded photographs, is governed by our Privacy Policy. By using OmniPhoto, you consent to our data practices as described in that policy. Because OmniPhoto processes facial photographs, we apply additional protections as detailed in the Privacy Policy.

11. Service Availability and Modifications

We strive to provide a reliable and consistent service but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any aspect of our services at any time, with or without notice, and we are not liable for any such changes.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEXLIMIT LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS. YOU ACKNOWLEDGE THAT AI-GENERATED RESULTS ARE SUBJECT TO VARIATION AND MAY NOT ALWAYS MEET YOUR EXPECTATIONS. YOU RELY ON ANY OUTPUT FROM THE SERVICE AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEXLIMIT LLC BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

14. Indemnification

You agree to defend, indemnify, and hold harmless NEXLIMIT LLC and its officers, directors, employees, and agents from and against every claim, liability, damage, loss, and expense, including reasonable attorneys' fees, arising out of or in connection with: (a) your access to or use of the service; (b) your violation of any portion of these Terms; or (c) your violation of any third-party right, including any intellectual property or privacy right.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes through our platform or via email. Your continued use of the service after such modifications constitutes your acceptance of the updated Terms.

16. Governing Law

These Terms are governed by applicable federal laws and regulations. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts as determined by applicable law.
